BidXlence is an AI-powered Bid Lifecycle Management platform that helps federal contractors manage the complete journey from opportunity discovery through contract award — including capture management, qualification, proposal development, compliance tracking, and submission.

3. Account Registration and Security

Account Creation

To use the Services, you must create an account by providing accurate and complete information. You agree to keep your account information current.

Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We recommend enabling multi-factor authentication (MFA) for additional security.

Account Types

If you are added to an organization account, the organization administrator may have access to your account information and content within that organization's workspace.

4. Acceptable Use

Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Services to harm, harass, or defraud others
• Reverse engineer, decompile, or disassemble the Services
• Use automated tools to scrape or extract data from the Services
• Resell or redistribute the Services without authorization
• Use the Services in any way that could damage or impair the Services

5. Your Content

Ownership

You retain all ownership rights to the content you upload, create, or store on BidXlence ("Your Content"). We do not claim ownership of Your Content.

License to Us

By uploading content to BidXlence, you grant us a limited license to host, store, process, and display Your Content solely for the purpose of providing the Services to you. This license ends when you delete Your Content or close your account.

AI Processing

Our Services use artificial intelligence to analyze documents and generate content. By using these features, you authorize us to process Your Content through our AI systems. Your Content is not used to train AI models and is not shared with third parties except as necessary to provide the Services.

Your Responsibilities

You are solely responsible for:

• The accuracy, quality, and legality of Your Content
• Ensuring you have the right to upload and use Your Content
• Reviewing and verifying any AI-generated content before use
• Compliance with any applicable regulations regarding Your Content

6. Intellectual Property

Our Intellectual Property

The Services, including all software, designs, text, graphics, and other content provided by BidXlence (excluding Your Content), are owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without written permission.

Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use that feedback without restriction or compensation to you.

7. Fees and Payment

Subscription Fees

Certain features of the Services require a paid subscription. Fees are described on our pricing page and are subject to change with notice.

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as stated in these Terms
• You are responsible for providing accurate billing information

Free Trial

We may offer free trials of paid features. At the end of the trial, you will be charged unless you cancel before the trial ends.

Effect of Termination

Upon termination, your right to use the Services ends immediately. You may export Your Content before termination. We may delete Your Content within 30 days after account closure.

9. Disclaimers

AI-generated content is provided for assistance only. You are responsible for reviewing, editing, and verifying all AI-generated content before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

No Guarantee of Results

Use of BidXlence does not guarantee success in winning proposals or contracts. Proposal outcomes depend on many factors beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDXLENCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Loss of contracts or business opportunities
• Costs of substitute services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BidXlence and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

12. Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.

Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute within 30 days.

Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to the jurisdiction of such courts.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of the Services after changes constitutes acceptance of the updated Terms.
